If you enter into a separate written agreement, Master Services Agreement ("MSA"), Statement of Work ("SOW"), proposal, or other contract with us, that agreement will govern the specific services covered by it. If there is a conflict between these Terms and a signed agreement, the signed agreement will prevail for that specific engagement.

2. Scope of Services
The specific services provided to a client will be described in the applicable proposal, quotation, SOW, MSA, or other written agreement.
Depending on the project, services may include:
- Designing automation workflows
- Building integrations
- Connecting APIs
- Configuring third-party platforms
- Developing AI-powered workflows
- Creating custom software or scripts
- Testing and deploying workflows
- Documentation
- Training or handover
- Maintenance and troubleshooting
We will make reasonable efforts to deliver the services according to the agreed scope.
3. Project Scope and Deliverables
Before beginning a project, we may agree with the client on:
- Project requirements
- Deliverables
- Project milestones
- Estimated completion date
- Fees
- Payment schedule
- Required client resources
- Acceptance criteria
- Support arrangements
The agreed SOW or proposal will determine what is included in the project.
Anything not expressly included in the agreed scope may be treated as additional work.
4. Project Timelines
We will make reasonable efforts to meet agreed project timelines.
However, project timelines may depend on:
- Client feedback
- Client approvals
- Access to third-party platforms
- API availability
- Third-party documentation
- Credentials and permissions
- Client-provided information
- Testing and acceptance
- Third-party service availability
- Changes requested by the client
A delay caused by the client or a third-party service may reasonably extend the project timeline.
Where we are responsible for a material failure to meet an expressly agreed delivery deadline, the remedies will be determined by the applicable SOW or agreement.
5. Client Responsibilities
The client agrees to:
- Provide accurate project requirements
- Provide information reasonably necessary to perform the services
- Provide timely feedback and approvals
- Provide appropriate access to relevant systems
- Maintain valid subscriptions to required third-party services
- Maintain appropriate permissions and authorizations
- Ensure that information provided to Auto Core System may lawfully be processed
- Cooperate reasonably with testing and deployment
The client is responsible for ensuring that it has the legal authority to provide any data, credentials, content, or system access supplied to Auto Core System.
6. Third-Party Services
Our services may depend on third-party services, including automation platforms, APIs, cloud platforms, CRM systems, email providers, AI providers, payment systems, and communication platforms.
Examples may include:
- n8n
- Zapier
- OpenAI
- Anthropic
- Groq
- HubSpot
- Twilio
- Salesforce
- Slack
- Google Workspace
- Other API or software providers
Third-party services are generally subject to their own terms, pricing, availability, technical limitations, and privacy policies.
Auto Core System is not responsible for a third-party provider's:
- Outage
- API changes
- Rate limits
- Pricing changes
- Account suspension
- Service termination
- Security incident
- Policy changes
- Technical limitations
- Loss of functionality
If a third-party change requires substantial modification of a completed automation, such work may constitute additional billable work unless otherwise agreed.
7. Client Accounts and Credentials
Where project implementation requires access to client systems, the client should provide access using appropriate security mechanisms.
Where reasonably possible, clients should use:
- Dedicated accounts
- Limited permissions
- API keys with appropriate scopes
- Service accounts
- Temporary credentials
- Other least-privilege mechanisms
Clients remain responsible for maintaining the security of their accounts and subscriptions.
Auto Core System will use credentials provided to us only as reasonably necessary to perform the agreed services.
After completion of a project, clients should revoke or rotate credentials that are no longer required.
8. Data Protection
The client remains responsible for determining whether its collection and use of personal data is lawful.
Where Auto Core System processes personal data on behalf of a client, the parties may enter into a separate Data Processing Agreement (DPA).
Where applicable, the DPA will govern the processing of personal data and will take precedence over inconsistent provisions concerning that processing.
9. Artificial Intelligence
Some services may use artificial intelligence or machine-learning systems.
AI technologies may include third-party providers such as OpenAI, Google Gemini, Anthropic, Groq, or other providers selected for a particular project.
AI-generated results can contain:
- Errors
- Inaccuracies
- Incomplete information
- Unexpected outputs
- Incorrect classifications
- Unintended responses
Accordingly, AI-generated output should not automatically be treated as accurate, authoritative, or suitable for high-impact decisions without appropriate human review.
Unless expressly agreed otherwise, Auto Core System does not guarantee that AI-generated output will be completely accurate or error-free.
10. Automation Risks
Automation systems can behave differently depending on:
- Input data
- API responses
- Third-party platform changes
- Authentication
- Network availability
- Rate limits
- Software updates
- Configuration
- Unexpected edge cases
We will use reasonable efforts to test and validate agreed workflows before delivery.
However, no complex automation can reasonably be guaranteed to operate indefinitely without maintenance or adjustment.
11. Testing and Acceptance
Where an SOW establishes acceptance criteria, the client will have a reasonable opportunity to test the deliverables.
The client should notify us of material defects that prevent the deliverable from substantially meeting the agreed requirements.
We will reasonably correct material defects that fall within the agreed scope.
A request for a new feature, changed business requirement, or functionality not included in the original scope may be treated as a change request rather than a defect.
12. Changes to Scope
Clients may request changes to the agreed project.
A change may affect:
- Price
- Delivery date
- Resources
- Technical design
- Testing requirements
- Third-party costs
We may provide a separate quotation or change order before performing substantial additional work.
13. Client Ownership of Deliverables
Subject to full payment of all amounts due under the applicable project agreement, the client will own the custom deliverables specifically created and paid for under the project.
This may include:
- Custom automation workflows
- Custom workflow logic
- Custom scripts
- Custom integration configurations
- Custom code
- Project-specific documentation
- Other expressly identified project deliverables
However, Auto Core System retains ownership of its:
- Pre-existing intellectual property
- General methodologies
- General technical knowledge
- Internal tools
- Frameworks
- Reusable libraries
- Generic templates
- Development techniques
- Components created independently of the client's project
Where such Auto Core System materials are incorporated into a client deliverable, Auto Core System grants the client the rights reasonably necessary to use the completed deliverable for its intended business purpose.
14. Third-Party Software and Open-Source Components
Some deliverables may depend on third-party or open-source software.
Such components remain subject to their respective licenses.
Client ownership of a custom deliverable does not transfer ownership of third-party intellectual property.
The client agrees to comply with applicable third-party licenses.
15. Fees and Payment
Project fees and payment schedules will be specified in the applicable proposal, quotation, invoice, SOW, or agreement.
Unless otherwise agreed:
- Work may begin after the required initial payment.
- Additional work may require additional payment.
- Third-party software/API costs are generally the client's responsibility unless expressly included in our quotation.
- Taxes, duties, or other governmental charges may be payable by the client where applicable.
16. Maintenance and Support
Our standard project delivery does not automatically include unlimited ongoing maintenance.
After delivery, the client may independently operate the completed system.
Optional maintenance or support may be purchased separately.
Maintenance may include:
- Fixing issues
- Updating integrations
- API changes
- Workflow modifications
- Monitoring
- Troubleshooting
- Performance improvements
- Technical support
Maintenance fees and scope will be agreed separately.
17. Warranty / Defect Correction
Unless a different warranty is specified in writing, Auto Core System will reasonably address material defects in a delivered solution that cause it not to substantially conform to the agreed project requirements and that are reported within the applicable support or warranty period.
This does not include problems caused by:
- Client modifications
- Third-party changes
- Unsupported environments
- Changes to business requirements
- Misuse
- Unauthorized modifications
- Third-party outages
- Client configuration changes
18. Refunds and Cancellation
Auto Core System does not provide an unconditional satisfaction guarantee.
If Auto Core System materially fails to deliver an agreed deliverable in accordance with the applicable agreement, the parties will first attempt to resolve the issue through correction, completion, or another mutually agreed remedy.
Where the applicable contract expressly provides for a refund, or where Auto Core System materially breaches its contractual obligations and the applicable agreement provides a refund remedy, the refund will be handled according to those terms.
Completed work, third-party charges, and work properly performed before cancellation may not be refundable unless otherwise required by law or agreed in writing.
19. Confidentiality
Each party may receive confidential information belonging to the other party.
Confidential information may include:
- Business information
- Technical information
- Source code
- Credentials
- Customer information
- Pricing
- Business processes
- Strategies
- Trade secrets
Each party agrees to use reasonable measures to protect confidential information and not disclose it to unauthorized parties.
For projects requiring additional confidentiality protections, the parties may execute a separate Nondisclosure Agreement (NDA).
20. Security
Auto Core System will use reasonable security practices appropriate to the services provided.
However, clients acknowledge that security depends on multiple factors, including:
- Client account security
- Third-party platforms
- API providers
- Hosting infrastructure
- Network security
- Credentials
- User permissions
The client remains responsible for security measures within systems it owns or controls.
21. No Guaranteed Business Results
Our services may improve efficiency, reduce manual work, or automate business processes.
However, unless expressly guaranteed in writing, we do not guarantee specific:
- Revenue
- Profit
- Cost savings
- Lead volume
- Conversion rates
- ROI
- Customer acquisition
- Productivity gains
- Business outcomes
Any estimates, calculators, projections, examples, or expected results presented on our website are illustrative and should not be interpreted as guaranteed financial outcomes.
22. Compliance and Lawful Use
The client is responsible for using our services in compliance with applicable laws and regulations.
Clients must not use Auto Core System services to:
- Commit fraud
- Conduct unauthorized access
- Distribute malware
- Conduct unlawful surveillance
- Send unlawful spam
- Infringe intellectual property
- Process personal data without appropriate authorization
- Circumvent security controls
- Facilitate illegal activities
We reserve the right to refuse or suspend work that we reasonably believe involves unlawful, abusive, fraudulent, or harmful activity.
23. Website Content
Information provided on our website is for general informational and business purposes.
We make reasonable efforts to keep website information accurate, but we do not guarantee that all website content will always be:
- Complete
- Current
- Accurate
- Error-free
- Continuously available
We may modify or discontinue website features without notice.
24. Intellectual Property in the Website
Unless otherwise stated, Auto Core System owns or has appropriate rights to the website's:

This does not affect the client's ownership rights in paid project deliverables under Section 13.
25. Suspension and Termination
We may suspend or terminate services if a client:
- Materially breaches an agreement
- Fails to make required payments
- Provides unlawful instructions
- Uses our services for prohibited activities
- Creates a material security risk
- Abuses our personnel or systems
Where reasonably possible, we will provide notice and an opportunity to remedy the issue.
Termination does not affect rights or obligations that accrued before termination.
26. Force Majeure
Neither party will be responsible for failure or delay caused by circumstances beyond its reasonable control.
Such circumstances may include:
- Natural disasters
- War
- Terrorism
- Government action
- Internet infrastructure failures
- Major cloud outages
- Widespread cyber incidents
- Telecommunications failures
- Epidemics or pandemics
- Major third-party service failures
- Other events beyond reasonable control
The affected party should take reasonable steps to mitigate the effects of the event.
27. Limitation of Liability
To the maximum extent permitted by applicable law, Auto Core System will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including:
- Lost profits
- Lost revenue
- Lost business opportunities
- Loss of anticipated savings
- Business interruption
- Loss resulting from third-party service failure
To the maximum extent permitted by applicable law, Auto Core System's aggregate liability arising from a particular project will not exceed the total fees actually paid to Auto Core System for that project during the six months preceding the event giving rise to the claim, unless a different limitation is expressly agreed in writing.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
28. Indemnification
To the extent permitted by applicable law, the client agrees to indemnify and hold Auto Core System harmless from third-party claims arising from:
- Unlawful client instructions
- Client-provided content
- Client's unauthorized use of third-party systems
- Client's violation of applicable law
- Client's infringement of third-party rights
- Client's misuse of delivered systems
This provision does not apply to the extent a claim results from Auto Core System's own proven breach, negligence, willful misconduct, or other liability that cannot lawfully be shifted to the client.
29. Dispute Resolution
The parties will first attempt to resolve disputes through good-faith discussions.
If a dispute cannot be resolved through negotiation, the parties may pursue the dispute-resolution procedure specified in the applicable MSA or SOW.
Unless otherwise agreed in writing, these Terms are governed by the laws of Pakistan, with the courts of Karachi, Sindh, Pakistan having jurisdiction, subject to any mandatory rights or protections that apply under the law governing a particular client or transaction.
For larger international engagements, Auto Core System may agree to a separate arbitration or international dispute-resolution mechanism in the applicable MSA.
30. International Clients
Clients outside Pakistan acknowledge that Auto Core System operates from Pakistan.
International clients remain responsible for determining their own regulatory obligations and ensuring that their use of automation, AI, data processing, and third-party services complies with applicable laws.
Where applicable, additional contractual provisions may be agreed regarding:
- Data protection
- International data transfers
- Security
- Confidentiality
- Processing of personal information
- Regulatory requirements
31. Electronic Agreements
Proposals, SOWs, contracts, approvals, and other agreements may be executed electronically where legally permitted.
Electronic acceptance, signatures, approvals, or other legally recognized electronic methods may constitute acceptance of the applicable agreement.
32. Assignment
Neither party may assign a material agreement to another party without appropriate consent, except where permitted as part of a corporate restructuring, merger, acquisition, or transfer of substantially all relevant business assets, subject to applicable law.
33. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
34. Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision later.
35. Entire Agreement
For website use, these Terms together with our Privacy Policy and other applicable policies constitute the agreement governing use of the website.
For client projects, the applicable MSA, SOW, proposal, DPA, and other signed agreements govern the specific engagement.
36. Changes to These Terms
We may update these Terms periodically.
The updated version will be published on this page with a revised "Last Updated" date.
Material changes may be communicated where appropriate.
